Business and Legal Challenges to Corporate Management and Directors: Facing Domestic & International Enforcement

BDO Consulting Partner Anthony Lendez will serve as a panelist at this program sponsored by The Directors Roundtable Institute, which will analyze how Directors, C-Suite Executives, and General Counsel can handle a corporate crisis arising from government enforcement. The panel will begin by considering the business and legal risks from SEC/DOJ enforcement, earnings misstatements, Dodd-Frank, and FCPA that can exist in every corner of operations and the effort of class action plaintiffs to capitalize on any potential misstep. The panelists will focus on conducting internal investigations carefully which is an essential element for managing these risks. Missteps can be costly and can even affect stock price. The speakers will then discuss the international reach of SEC/DOJ investigations. In the opposite direction, foreign government investigations can lead to U.S. enforcement and class actions in this country against both U.S. and non-U.S. companies. This 2-hour program will review the Dodd-Frank Act's whistleblower provisions and the SEC's proposed rules relating to whistleblowers; evaluate potential effects on current ethics and compliance programs and discuss how companies may enhance their existing internal reporting mechanisms in response to the new legislation. Topics will include a review of the Dodd-Frank Act's whistleblowers provisions, proposed SEC rules, some criticisms of the proposed rules, and the related amendments to the U.S. Sentencing Guidelines.
